The Corporate Officer is responsible to undertake the following activities to Real Estate/Traditional Funds and their companies: To develop and provide highly efficient and professional company secretarial services (Board Meetings, AGMs, EGMs, liquidations, mergers etc.) for the Luxembourg domiciled Funds;

The role
  • As a Corporate Officer your major accountabilities will include:
  • To develop and provide highly efficient and professional company secretarial services (Board Meetings, AGMs, EGMs, liquidations, mergers etc.) for the Luxembourg domiciled Funds
  • To provide support to the Board of Directors and to ensure that the statutory duties imposed on the company and its directors under the Law on Commercial Companies are effectively discharged
  • To assist the Board of Directors to develop principles of good governance and codes of best practice
  • Provide support to Aviva Investors Luxembourg on relevant company and commercial law matters and corporate governance issues
  • Manage relationship and maintain strong links with Aviva group entities, regulators, auditors, lawyers, service providers
  • Manage real estate acquisitions and disposals
  • Manage registration of investment funds cross border (Europe, Asia) with service provider

As a Corporate Officer your skills, experience and qualifications will ideally include:
  • University Degree, Bac+4 ideally in Economics or in law (or equivalent)
  • Excellent handling of MS Office applications
  • Fluent written and spoken English and French or English and German (German speaker preferred)
  • Experience in the Fund Industry in Luxembourg
  • Experience in people management situations
  • Experience with real estate transactions
  • Detailed knowledge of corporate secretary
  • Detailed knowledge of Luxembourg corporate law
  • Analytical, problem solving , business analysis skills
  • An overview of the legal practices in different countries
  • Excellent Communication Skills
  • Demonstrable knowledge of compliance
  • Desire to provide a superior internal and external client service
  • Good interpersonal skills
  • Must be highly organized and detail / efficiency orientated
  • Must have initiative to constantly improve processes
  • Ability to prioritise issues at a company level
  • Good understanding of operational controls framework
